Effective Date: Upon account sign-up and approval
By signing up on the Rivia Agent Platform as a Master Agent, you confirm that you have read, understood, and agreed to be bound by these Rivia Master Agent Provisional Terms & Conditions (“Terms”).
1. Purpose
Rivia Technologies Limited (“Rivia”, “we”, “us”) operates a healthcare access platform that enables individuals and communities to access affordable healthcare through Rivia Access Cards and related services.
These Terms govern your appointment and engagement as a Master Agent during an initial provisional period.
2. Appointment & Territory
2.1 Upon successful registration and approval, you are appointed as a Master Agent for a defined territory as provided by you during sign-up and subsequently reviewed and approved by Rivia.
2.2 Territorial exclusivity applies during the provisional period, subject to performance and compliance.
2.3 Rivia reserves the right to operate digitally, directly, or through other partnerships outside your approved territory.
3. Provisional Term & Automatic Graduation
3.1 Your Master Agent engagement begins with a six (6) month provisional period.
3.2 Upon successful completion of the provisional period and continued compliance with performance, conduct, and operational requirements, you will be automatically graduated to a substantive Master Agent Agreement.
3.3 The substantive agreement will be made available digitally through your Rivia Agent Account. Continued use of the platform constitutes acceptance.
4. Independent Contractor Status
4.1 You are an independent contractor, not an employee, partner, joint venture, or representative of Rivia.
4.2 You are solely responsible for:
- your own taxes
- statutory obligations
- social security contributions
- licenses, permits, and registrations
4.3 Rivia bears no responsibility for your statutory, tax, or personal obligations.
5. Role & Responsibilities of the Master Agent
As a Master Agent, you agree to:
5.1 Recruit, train, and manage sub-agents within your approved territory.
5.2 Promote and sell only Regular Rivia Access Cards, strictly in line with Rivia’s approved pricing and guidelines.
5.3 Activate all Rivia Access Cards sold by you or your sub-agents for the members you onboard.
5.4 Ensure accurate member onboarding and data entry on the Rivia platform.
5.5 Meet agreed sales, activation, and recruitment targets.
5.6 Ensure all sub-agents comply with Rivia’s rules, policies, and ethical standards.
6. Rivia Access Card Types (Important Clarification)
6.1 Rivia offers two distinct types of access cards:
Regular Rivia Access Cards
Regular Access Cards are designed for individuals and families and provide:
- Free virtual doctor consultations with Rivia doctors via WhatsApp chat, telephone call, and video call
- Prescriptions issued by Rivia-affiliated doctors
- Medical report and lab result interpretation by Rivia-affiliated doctors
- Discounts on in-person services at approved and participating Rivia providers
Cashless Rivia Access Cards
Cashless Access Cards are issued exclusively through employer, corporate, and institutional partnerships. These cards provide access to in-person healthcare services funded through employer-paid Health Credits. Cashless Access Cards are not sold by agents.
6.2 As a Master Agent (and through your sub-agents), you are authorised to sell only Regular Rivia Access Cards.
6.3 You are strictly prohibited from selling, marketing, or representing Cashless Rivia Access Cards. Any attempt to do so constitutes a material breach of these Terms.
7. Card Purchase & Primary Compensation Model
7.1 Rivia does not compensate Master Agents primarily through commissions. Your primary earnings come from reselling Rivia Access Cards.
7.2 You shall purchase Access Cards at a wholesale price determined by Rivia, currently:
- Standard wholesale price: GHS 10 per card
- Introductory wholesale price: GHS 5 per card (limited period)
7.3 You are only permitted to sell Access Cards to consumers at the approved retail price, currently GHS 30 per card per year, or any updated price communicated by Rivia.
7.4 Card orders and payments must be placed through your Rivia Agent Account.
7.5 Rivia may, at its discretion, offer installment or credit terms for card purchases.
8. Renewal Commissions
8.1 You will earn a 10% commission on renewals of the same Access Cards you originally sold.
8.2 Renewal commissions are calculated and paid monthly.
8.3 No commissions apply to initial card sales beyond resale margins.
9. Price & Compensation Updates
9.1 Rivia reserves the right to update or revise at any time:
- wholesale card prices
- retail card prices
- compensation structures
- commission rates
9.2 Updates will be communicated via the Rivia platform or official channels, including email and SMS notifications through your provided contact information.
9.3 Continued use of your Agent Account after an update constitutes acceptance.
10. Provisional Period Performance Expectations
During the 6-month provisional period, you are expected to meet the following minimum requirements:
- Sell a minimum of 400 Regular Access Cards per month
- Maintain a 100% card activation rate each month based on cards sold
- Recruit at least 10 sub-agents within the first 90 days
11. Failure to Meet Expectations
Failure to meet provisional performance expectations may:
- affect renewal and graduation to the substantive agreement
- affect territorial exclusivity
- result in account suspension or termination
12. Pricing Compliance & Breach
12.1 You must strictly comply with approved retail pricing.
12.2 Selling above or below the approved price constitutes a material breach and may result in:
- account suspension
- forfeiture of commissions
- termination of your agent status
13. Brand & Marketing
13.1 All branding must follow Rivia’s brand guidelines.
13.2 You may not alter, misrepresent, or independently brand Rivia materials.
13.3 Rivia may suspend or stop any activity that damages its brand or reputation.
14. Confidentiality, Data & Non-Misuse
14.1 You shall not:
- misuse Rivia’s private, operational, pricing, or customer data
- copy or replicate Rivia’s business model
- use Rivia information to operate or support a competing or similar business
14.2 All data accessed through the platform remains the sole property of Rivia.
14.3 These obligations survive termination.
15. Termination
15.1 Either party may terminate with 14 days’ notice.
15.2 Rivia may terminate immediately for fraud, pricing violations, data misuse, misconduct, or material breach.
15.3 Upon termination, your Agent Account will be deactivated and all obligations settled.
16. Governing Law
These Terms are governed by the laws of the Republic of Ghana.
17. Acceptance
By creating and using a Rivia Master Agent Account, you confirm that you have read, understood, and agreed to these Terms & Conditions.
